增加资本是指股份有限公司依照法定程序增加公司的股份总数(简称增资)。增资的原因一般有筹措资金、扩大营业规模、增加项目投资等。公司增资的方式很多,常见的有发行新股,还有增加每股面值、公司债转换为公司股份、公积金转增资本、公司股东增资补充资本等等。以公司发行新股方式增资的,应当取得中国证监会的批准。
